We are seeking a Senior Paralegal with broad experience across corporate governance real estate transactions intellectual property mergers and acquisitions and general contract support to join our legal team. The ideal candidate is highly organized detail-oriented and comfortable managing multiple workstreams under deadline pressure with minimal supervision.

Key Responsibilities:

The scope of this position will be shaped by the needs of the business. The senior paralegal may be asked to support some or all of the following functional areas.

Corporate Governance-

  • Prepare and maintain corporate records minute books and entity formation/dissolution documents.

  • Support board and committee meetings including drafting agendas resolutions and minutes.

  • Assist with annual meeting logistics proxy materials and director/officer questionnaires.

  • Track SEC filing deadlines and assist with Section 16 and other regulatory filings for public company clients.

  • Maintain subsidiary charts and good standing certificates across multiple jurisdictions.

Real Estate-

  • Support commercial real estate transactions including due diligence title review and survey analysis.

  • Prepare closing checklists deeds leases and related transactional documents.

  • Coordinate with title companies lenders and outside counsel on closings.

  • Track lease abstracts key dates and renewal deadlines.

Intellectual Property-

  • Maintain trademark patent and copyright dockets including filing deadlines and renewal dates.

  • Assist with trademark clearance searches and prepare/file trademark applications and related USPTO correspondence.

  • Coordinate with outside IP counsel on patent prosecution matters and maintain patent portfolios.

  • Support IP licensing agreements assignments and enforcement matters.

  • Monitor domain name registrations and IP watch services.

Mergers & Acquisitions-

  • Support due diligence efforts including document collection review and organization of data rooms.

  • Assist in drafting and compiling disclosure schedules and closing checklists.

  • Prepare ancillary transaction documents including officers certificates resolutions and consents.

  • Coordinate signature pages and closing mechanics across multiple parties and workstreams.

  • Support post-closing integration efforts including entity rationalization name changes and updating corporate records for newly acquired subsidiaries.

  • Track post-closing deliverables and outstanding obligations under transaction agreements.

General Contracts-

  • Draft review and redline routine commercial agreements (NDAs vendor contracts service agreements).

  • Maintain contract databases and tracking systems for key terms renewals and obligations.

  • Support contract lifecycle management processes and flag risk issues for attorney review.

Cross-Functional-

  • Manage document production e-filing and records management across practice areas.

  • Coordinate deadlines and project timelines for multiple attorneys.

  • Liaise with internal stakeholders outside counsel and third-party vendors as needed.

Essential Knowledge and Skills:

  • Exceptional organizational skills with the ability to manage competing priorities across multiple practice areas.

  • Excellent written and verbal communication skills.

  • Excellent analytical research communication and problem-solving abilities.

  • Comfortable operating with a high degree of autonomy taking initiative and delivering quality work on tight timelines.

  • High degree of discretion in handling confidential and sensitive information.

  • Demonstrated willingness to learn new subject matter and expand into additional functional areas as business needs evolve.

  • Strong proficiency with document management systems entity management software and Microsoft Office.

Education and Experience:

  • Bachelors degree or paralegal certificate required.

  • 5 years of paralegal experience with meaningful experience in at least two of the following areas: corporate governance real estate IP and M&A.

Preferred:
  • Experience supporting a public companys governance function.

  • Experience with virtual data room platforms (Datasite Intralinks etc.).

  • Notary commission.

  • Familiarity with SEC EDGAR and USPTO TEAS/TSDR filing systems.

Compensation for roles at TTM Technologies varies depending on a wide array of factors including but not limited to the specific office location role skill set and level of experience. As required by local law TTM provides a reasonable range of compensation for roles that may be hired in New York California and Colorado. For California-based roles compensation ranges are based upon specific physical locations.

Must comply with TTM Export Control Policies and Procedures and all applicable laws including ITAR EAR and OFAC including but not limited to: a) being able to identify ITAR product on the manufacturing floor and understand that access to these products and related technical data is restricted to only US Citizens and US Permanent Residents; b) recognition ofForeign Person visitors by badge differentiation; c) understand and follow authorization procedures for bringing foreign visitors into facilities (VAL); d) understand the Export and ITAR requirements for shipments leaving the US; e) manage vendor approvals for ITAR manufacturing and services.
