What You Will Do

• Advise emerging growth companies on entity formation corporate governance and organizational structuring.
• Represent startups and founders in seed Series A and later-stage venture capital financings.
• Counsel venture capital and private equity clients on fund formation and portfolio investments.
• Draft review and negotiate critical transaction documents such as term sheets and stock purchase agreements.
• Support mergers and acquisitions involving emerging companies ensuring compliance and strategic alignment.
• Advise clients on equity compensation plans and employee benefits matters.
• Collaborate with senior attorneys to deliver integrated legal solutions and manage client relationships.

Ideal Candidate Background

• 4 to 8 years of relevant legal experience ideally at a top-tier law firm with a focus on emerging companies and venture capital.
• Demonstrated experience advising startups and venture capital investors on financings and corporate transactions.
• Strong drafting and negotiation skills across a broad range of venture and corporate documents.
• Deep understanding of the venture capital ecosystem including deal structures and investor dynamics.
• Excellent communication skills capable of translating complex legal concepts for clients.

Preferred

• Experience leading transactions and interfacing directly with founders CEOs and boards.
• Strong academic pedigree and the ability to operate autonomously in a fast-paced environment.

Compensation and Benefits

The base salary for this role ranges from $310K to $435K commensurate with experience. This company offers a hybrid work schedule and a clear path for growth and partnership for high performers.
